These Dealer Portal Terms of Access, Use, and Confidentiality (“Terms”) govern access to and use of the dealer portal (“Portal”) operated by EVOLUTION ELECTRIC VEHICLES (“Company”).
The Portal is a restricted-access system intended solely for dealers that have been specifically approved and authorized by Company (“Authorized Dealers”). Access to the Portal is provided through approved user accounts and login credentials issued or authorized by Company.
By accessing, viewing, using, downloading, copying, or otherwise obtaining any information or content through the Portal, the Authorized Dealer and each individual accessing the Portal on its behalf (“Dealer”) acknowledge and agree to these Terms.
The Portal is private and is not intended for access or use by the general public, customers, prospective customers, competitors, unauthorized dealers, or any other unauthorized third party.
Access is permitted only to:
Access to the Portal is a privilege granted by Company and may be limited, suspended, or terminated at Company’s discretion in accordance with these Terms and any other applicable agreement with Dealer.
Dealer shall not permit any unauthorized person or entity to access or use the Portal.
Each Portal account and its associated username, password, authentication code, or other login credential (“Login Credentials”) are confidential and may be used only by the individual or authorized Dealer personnel for whom access was approved.
Dealer shall not:
Dealer is responsible for maintaining the confidentiality and security of all Login Credentials associated with its organization.
If Dealer knows or suspects that Login Credentials have been lost, stolen, compromised, shared, or accessed by an unauthorized person, Dealer shall promptly notify Company and take reasonable steps to prevent further unauthorized access.
For purposes of these Terms, “Portal Materials” means all information, content, materials, and data available, displayed, communicated, stored, transmitted, or accessible through the Portal, whether or not such materials are capable of being downloaded.
Portal Materials include, without limitation:
These Terms apply to Portal Materials regardless of their format and regardless of whether the information is viewed online, downloaded, printed, photographed, copied, saved, forwarded, reproduced, summarized, extracted, or otherwise recorded.
Dealer acknowledges that the Portal and Portal Materials may contain confidential, proprietary, commercially sensitive, or non-public information belonging to Company or its affiliates, licensors, suppliers, business partners, or other parties.
Unless Company expressly identifies particular Portal Materials as approved for public or external distribution, Dealer shall treat all non-public Portal Materials as confidential and for Authorized Dealer use only.
The absence of a “Confidential,” “Dealer Only,” “Proprietary,” or similar designation does not mean that Portal Materials may be shared with unauthorized third parties.
Portal Materials may be used only for legitimate business purposes directly related to Dealer’s authorized relationship with Company.
Dealer may share Portal Materials internally only with Dealer personnel who:
Dealer is responsible for ensuring that its employees and authorized personnel comply with these Terms.
Internal sharing does not authorize public distribution or disclosure to any third party outside Dealer’s authorized organization.
Dealer shall not disclose, distribute, transmit, publish, display, provide, forward, upload, post, reproduce for external distribution, sell, sublicense, transfer, or otherwise make Portal Materials available to any unauthorized third party without Company’s prior written authorization.
This prohibition applies to the Portal Materials themselves as well as to the information contained in or derived from the Portal Materials.
Unauthorized disclosure includes, without limitation, providing Portal Materials or Portal information to:
Dealer shall not disclose Portal Materials merely because the recipient requests the information or has a business relationship with Dealer.
Dealer shall not photograph, screenshot, screen-record, copy, reproduce, capture, or otherwise record Portal Materials for the purpose of providing them to an unauthorized third party.
Without Company’s prior authorization, Dealer shall not:
If Company specifically identifies certain materials as approved for customer-facing, marketing, advertising, or public use, Dealer may use those materials only for the approved purpose and subject to any additional instructions provided by Company.
Dealer shall not provide Portal access to an unauthorized third party for any reason.
Prohibited conduct includes, without limitation:
Dealer shall establish reasonable internal controls to protect its Portal accounts and Login Credentials from unauthorized use.
Dealer is responsible for all Portal access and activity occurring through accounts assigned to or maintained for Dealer, except to the extent prohibited by applicable law.
Dealer shall ensure that each individual provided with Portal access:
Dealer shall promptly notify Company when an employee or other authorized user no longer requires Portal access, including because of termination of employment, change of job responsibilities, or separation from Dealer.
Dealer shall use reasonable administrative, technical, and physical safeguards to protect Portal Materials and Login Credentials against unauthorized access, disclosure, copying, alteration, loss, or distribution.
Dealer shall not knowingly store confidential Portal Materials in publicly accessible locations or use unsecured methods to distribute confidential Portal Materials.
Dealer should limit access to Portal Materials to personnel with a legitimate business need to know.
If Dealer becomes aware of or reasonably suspects:
Dealer shall promptly notify Company.
Dealer shall reasonably cooperate with Company in investigating, limiting, correcting, or mitigating any unauthorized access, use, or disclosure.
Dealer shall not use the Portal or Portal Materials:
Company may from time to time make certain Portal Materials available specifically for customer-facing, advertising, promotional, marketing, social media, sales, or other external use.
Where Company clearly identifies Materials as approved for such external use, Dealer may use those Materials for the approved purpose subject to Company’s branding requirements, marketing guidelines, dealer agreement, and other applicable policies.
The fact that a particular item is downloadable does not, by itself, mean that the item is approved for public or third-party distribution.
Dealer is responsible for determining whether the applicable material has been approved for external use before distributing it outside Dealer’s authorized organization.
Except where otherwise indicated, the Portal and Portal Materials are owned by, licensed to, or otherwise controlled by Company and may be protected by copyright, trademark, trade secret, contractual rights, or other intellectual property or proprietary rights.
Dealer’s Portal access does not transfer ownership of any Portal Materials or intellectual property rights to Dealer.
Subject to these Terms, Company grants Dealer a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use Portal Materials solely for Dealer’s authorized business purposes.
Dealer may not assign, transfer, sublicense, sell, rent, lease, or otherwise provide its Portal access rights to another dealer, business, organization, or third party.
Company’s approval of one Dealer location, entity, account, or user does not automatically authorize access by another location, affiliate, sister company, related business, reseller, distributor, or other entity.
Any additional access must be separately authorized by Company where required.
Company may update, modify, replace, remove, or discontinue Portal Materials at any time.
Dealer is responsible for confirming that it is using the most current applicable information available through the Portal.
Unless otherwise expressly agreed in writing, Company does not guarantee that all Portal Materials will be continuously available, error-free, or suitable for every particular purpose.
Company may suspend, restrict, deactivate, or terminate Dealer’s Portal access if Company reasonably believes that:
Suspension or termination of Portal access does not eliminate Dealer’s continuing obligations regarding confidential or proprietary information previously obtained from the Portal.
Upon Company’s request or termination of Dealer’s authorized relationship with Company, Dealer shall cease accessing and using restricted Portal Materials.
If requested by Company, Dealer shall reasonably delete, destroy, or return confidential Portal Materials in Dealer’s possession or control, subject to applicable law and legitimate record-retention requirements.
Dealer’s confidentiality and non-disclosure obligations regarding confidential Portal Materials shall continue after Portal access or Dealer authorization has ended to the extent provided by applicable law or other agreements between Dealer and Company.
Unauthorized sharing of Login Credentials, unauthorized Portal access, or unauthorized disclosure or distribution of Portal Materials constitutes a material violation of these Terms.
Company may take appropriate action in response to a violation, including:
These Terms supplement any dealer agreement, nondisclosure agreement, confidentiality agreement, terms of use, information-security policy, intellectual-property policy, or other agreement between Company and Dealer.
If another applicable agreement imposes stricter restrictions regarding confidentiality, information security, use, disclosure, intellectual property, or Portal access, the stricter requirements shall continue to apply.
By logging into, accessing, or using the Portal, Dealer acknowledges and agrees that:
UNAUTHORIZED ACCESS, SHARING OF LOGIN CREDENTIALS, OR DISCLOSURE OF RESTRICTED PORTAL INFORMATION IS STRICTLY PROHIBITED.
